AI-assisted features may generate summaries, notes, suggestions, classifications, extracted information, workflows or other outputs. These outputs may contain errors, omissions or inaccuracies.
AI-generated or automated outputs must be reviewed by an appropriately qualified member of the Clinic where they relate to clinical care, patient records, diagnosis, treatment or other professional decisions.

otherwise use the Services in a way that could reasonably harm smoll, another customer, a pet owner, or the security or integrity of the Services.
smoll may suspend or restrict access where it reasonably believes these Terms have been violated or where necessary to protect the Services, users or third parties.
6. Clinic Data
The Clinic retains ownership of the data it submits to the Services, subject to the rights of pet owners, clients and other individuals under applicable law.
The Clinic grants smoll the limited rights necessary to host, store, process, transmit, display and otherwise process Clinic Data solely to provide, maintain, secure and improve the Services and to comply with applicable law.
Where appropriate, the parties may enter into additional data-processing terms governing the processing of personal data.
smoll does not acquire ownership of Clinic Data merely because the data is stored or processed through the Services.
7. Pet Owner and Client Data
The Services may contain information relating to pet owners, clients and pets.
The Clinic is responsible for ensuring that its collection and use of personal data through the Services has an appropriate legal basis and complies with applicable law.
Where applicable, smoll may provide pet owners or users with access to information associated with them or their pets, subject to applicable law, Clinic obligations, security requirements and the rights of other individuals.
Nothing in these Terms prevents an individual from exercising rights granted to them by applicable data-protection law.
8. Data Portability
smoll is designed to support the portability of Clinic Data.
Subject to applicable law and the Clinic’s contractual obligations, a Clinic may request access to or export of its data.
Following termination, smoll may retain certain information for legal, security, accounting, dispute-resolution, fraud-prevention or legitimate operational purposes.
9. Third-Party Services
The Services may integrate with or depend on third-party services, including payment processors, communications providers, hosting providers, analytics providers, authentication providers, AI providers and other technology providers.
Third-party services may have their own terms and privacy policies.
Where payment processing is provided through Stripe or another payment processor, the relationship between the Clinic and that processor may be governed by the processor’s own terms.
smoll is not responsible for the availability, performance, security or policies of third-party services outside its reasonable control.
10. Payments
Where the Services enable payment collection, payments may be processed through Stripe, Inc. or another third-party payment processor.

Fees may be changed in accordance with the Payment Terms.
11. Refunds and Chargebacks
The Clinic is responsible for determining and processing refunds relating to its products and services.
Where payments are processed through Stripe, refunds, disputes and chargebacks may be handled through Stripe’s systems and subject to Stripe’s applicable terms and procedures.
The Clinic remains responsible for the underlying transaction and any associated amounts owed to the payment processor or smoll.
12. Fees and Changes
smoll may introduce, modify or discontinue fees, features or Services.
Where a fee change materially affects the Clinic, smoll will provide notice by email or through the Services.
Unless otherwise stated, changes will take effect from the date specified in the notice.
Continued use of the affected Services after the effective date constitutes acceptance of the updated fees.
13. Intellectual Property
The Services, including the software, interface, designs, trademarks, logos, documentation, systems, technology and underlying intellectual property, are owned by or licensed to smoll.
Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to the Clinic.
The Clinic retains ownership of its own content, trademarks and Clinic Data.
The Clinic grants smoll a limited licence to use its trademarks, logos and content solely as necessary to provide the Services.
14. Feedback
If you provide suggestions, ideas, recommendations or feedback regarding the Services, you grant smoll the right to use that feedback without restriction or compensation, provided that smoll does not disclose confidential information belonging to the Clinic.
15. Service Availability
smoll will use commercially reasonable efforts to maintain availability of the Services.
The Services may occasionally be unavailable due to:
scheduled maintenance;
emergency maintenance;
software updates;
infrastructure failures;
third-party service failures;
telecommunications failures;
cyber incidents;
force majeure events; or
circumstances outside smoll’s reasonable control.
smoll does not guarantee uninterrupted or error-free operation.
16. Security
smoll maintains technical and organisational measures designed to protect the Services and data against unauthorised access, loss, misuse and disclosure.
No internet-based system can be guaranteed to be completely secure.
The Clinic is responsible for maintaining appropriate security practices within its organisation, including user access controls, passwords, devices and authorised users.
17. Confidentiality
Each party may receive confidential information belonging to the other party.
The receiving party will use reasonable measures to protect confidential information and will use it only for legitimate purposes connected with the relationship between the parties.
Confidentiality obligations do not apply to information that:
is publicly available without breach;
was already lawfully known;
is independently developed;
is lawfully received from a third party; or
must be disclosed by law or valid legal process.
18. Suspension
smoll may suspend or restrict access where reasonably necessary to:
prevent security risks;
investigate suspected misuse;
comply with law;
prevent fraud;
address non-payment;
protect the Services or other customers; or
address a material breach of these Terms.
Where reasonably practicable, smoll will provide notice before suspension and an opportunity to remedy the issue.

Either party may terminate the relationship in accordance with the applicable agreement.
smoll may terminate or suspend the Services for material breach where the breach is not remedied within a reasonable period after notice.
Upon termination:
access to the Services may cease;
outstanding amounts remain payable;
the Clinic may request applicable data exports;
provisions intended to survive termination will continue to apply.
20. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as available” and “as is” basis.
smoll does not warrant that:
the Services will always be available;
the Services will be completely error-free;
AI-generated information will always be accurate;
the Services will meet every specific Clinic requirement; or
third-party services will remain available.
Nothing in these Terms excludes any consumer or other statutory rights that cannot legally be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, smoll will not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, revenue, goodwill, business opportunities or anticipated savings.
To the maximum extent permitted by law, smoll’s aggregate liability arising from the Services will be limited to the fees paid by the Clinic to smoll during the applicable period preceding the event giving rise to the claim, or such other amount required by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
22. Indemnification
To the extent permitted by law, the Clinic agrees to indemnify and hold smoll harmless from claims, losses, liabilities and expenses arising from:
the Clinic’s use of the Services;

the Clinic’s violation of applicable law;
veterinary services provided by the Clinic;
Clinic Data supplied to the Services; or
disputes between the Clinic and its clients or pet owners.
23. Changes to These Terms
smoll may update these Terms from time to time.
Material changes will be communicated through reasonable means, including email or notices within the Services.
The updated Terms will become effective on the date specified in the notice.
24. Governing Entity
Depending on the Clinic’s geography and applicable commercial arrangement, the contracting entity may be smoll Inc. or smoll Pet Health Technologies L.L.C-FZ.
The applicable entity, governing law and dispute-resolution provisions may be specified in the Clinic’s commercial agreement, order form or other applicable agreement.
25. General
These Terms constitute the agreement between the Clinic and smoll concerning the Services unless a separate written agreement expressly supersedes them.
If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.
The failure to enforce any provision does not constitute a waiver.
The Clinic may not assign its rights or obligations without smoll’s prior written consent, except where permitted under a corporate restructuring or transfer of substantially all relevant assets.
