Payment Terms

Last updated: 2 October 2026

These Payment Terms apply to payments processed through the smoll platform.

The applicable smoll contracting entity may be smoll Inc. or smoll Pet Health Technologies L.L.C-FZ, depending on the Clinic’s geography and applicable commercial arrangement.

1. Platform Fee

smoll charges are referred to as 'platform fee' on applicable transactions processed through the Services.

The platform fee is calculated on the applicable transaction amount and may apply to payments collected through smoll payment links, invoices, online bookings, storefronts or other payment-enabled Services.

Certain transaction types, products or commercial arrangements may be subject to different fees where expressly agreed with the Clinic.

2. Payment Processor Fees

In addition to the smoll platform fee, payment transactions may be subject to fees charged by Stripe, Inc. or another applicable payment processor.

These fees are separate from smoll’s platform fee.

The applicable payment processor determines its own:

  • processing fees;

  • payment-method fees;

  • currency-conversion fees;

  • international payment fees;

  • dispute fees;

  • chargeback fees;

  • refund fees;

  • payout fees; and

  • other applicable charges.

Payment processor fees may change independently of smoll.

3. Payout Fees

The Clinic is responsible for any fees associated with payouts from the payment processor to the Clinic’s designated bank account or payout destination.

This includes any payout, currency conversion, international transfer or similar fees charged by Stripe or another payment processor.

smoll does not guarantee that payout fees will be zero.

4. Refunds

The Clinic is responsible for refunds relating to its own products and services.

Where Stripe or another payment processor is used, refunds are processed through that provider’s systems and remain subject to its applicable terms and fees.

A refund of a customer’s payment does not necessarily result in a refund of fees already charged by the payment processor.

5. Chargebacks and Disputes

The Clinic is responsible for payment disputes and chargebacks relating to transactions for its products and services.

Any chargeback, dispute or related fee imposed by Stripe or another payment processor may be charged to or deducted from amounts payable to the Clinic.

smoll may assist with transaction information where reasonably necessary, but the Clinic remains responsible for responding to customer disputes.

6. Payment Processor Relationship

Stripe, Inc. or another third-party payment processor may provide payment processing and payout infrastructure.

The payment processor may independently determine whether a Clinic is eligible to receive payments or payouts.

The Clinic is responsible for completing all required verification, onboarding and compliance procedures.

This may include:

  • business verification;

  • identity verification;

  • beneficial-owner information;

  • banking information;

  • tax information;

  • sanctions screening;

  • anti-money-laundering requirements; and

  • other information required by the payment processor.

7. Compliance

Payment processing is subject to the terms, policies and compliance requirements of the applicable payment processor.

smoll does not control decisions made by Stripe or another payment processor regarding:

  • account approval;

  • payment acceptance;

  • payout timing;

  • reserves;

  • account restrictions;

  • payment disputes;

  • compliance reviews; or

  • account termination.

The Clinic must comply with all applicable laws and payment-network requirements.

8. Changes to Fees

smoll may change its platform fees from time to time.

Where the platform fee changes, smoll will provide notice to the Clinic using the email address associated with the Clinic account or another reasonable communication method.

Unless a different effective date is stated, the revised fee will apply from the effective date specified in the notice.

Continued use of payment Services after the effective date constitutes acceptance of the revised fee.

9. Taxes

The Clinic is responsible for determining and paying taxes applicable to its sales, services and business activities.

smoll may charge applicable taxes on its own fees where required by law.

The payment processor may also apply taxes, withholding or other charges where required.

10. Currency

Payments may be processed in supported currencies.

Currency conversion may result in additional charges or differences between the amount paid by the customer and the amount received by the Clinic.

Applicable conversion rates and fees may be determined by the payment processor or financial institution.

11. Payout Timing

Payout timing is determined primarily by the applicable payment processor and may vary based on:

  • country;

  • currency;

  • payment method;

  • account status;

  • verification status;

  • risk controls;

  • reserves;

  • weekends and holidays; and

  • other processor requirements.

smoll does not guarantee a specific payout date unless expressly agreed in writing.

12. Clinic Responsibility

The Clinic remains responsible for:

  • the products and services it sells;

  • the accuracy of prices;

  • customer communications;

  • refunds;

  • cancellations;

  • disputes;

  • taxes;

  • regulatory compliance; and

  • fulfilment of the underlying transaction.

smoll provides payment infrastructure and does not become the provider of the Clinic’s veterinary services merely because the payment is processed through the platform.
